1. Description of Services

SYNTRO Marine™ is a software platform designed to assist:

• Marine service providers

• Marinas

• Boat dealers

• Technicians

• Boat owners

The platform provides tools for:

• Vessel maintenance management

• Marine service scheduling

• Parts ordering and inventory

• Work order management

• Customer communication

• Service record tracking

SYNTRO Marine™ functions solely as a software platform and does not directly perform marine services.

2. User Accounts

To access certain features, users must create an account.

Users agree to:

• Provide accurate information

• Maintain the confidentiality of login credentials

• Accept responsibility for all activities under their account

We reserve the right to suspend accounts for violations of these Terms.

3. Acceptable Use

Users agree not to:

• Use the platform for unlawful purposes

• Upload false or misleading vessel data

• Attempt unauthorized access to systems

• Disrupt platform operations

• Use the platform to distribute malware or malicious code

Violation of these rules may result in account suspension or termination.

4. Payments and Subscriptions

Users agree that:

Failure to maintain payment may result in suspension of services.

5. Marine Services Disclaimer

SYNTRO Marine™ does not provide marine repair, mechanical, or vessel services.

Marine services arranged through the platform are performed by independent service providers.

SYNTRO Marine™ is not responsible for:

• Quality of repairs

• Service delays

• Pricing disputes

• Parts availability

• Damage resulting from third-party service providers

Users must resolve disputes directly with the service provider.

6. Intellectual Property

All platform content including:

• Software

• Branding

• Logos

• Designs

• Documentation

• System architecture

are the intellectual property of Momentum Business Solutions and are protected by applicable intellectual property laws.

Users may not reproduce, distribute, or reverse engineer the platform without permission.

7. Limitation of Liability

To the maximum extent permitted by law, SYNTRO Marine™ shall not be liable for:

• Indirect damages

• Loss of revenue

• Business interruption

• Data loss

• Damages arising from marine service providers

Use of the platform is at the user's own risk.

8. Indemnification

Users agree to indemnify and hold harmless SYNTRO Marine™, Momentum Business Solutions, and its affiliates from claims arising from:

• Misuse of the platform

• Violation of these Terms

• Disputes with third-party service providers

9. Termination

We reserve the right to suspend or terminate accounts that:

• Violate these Terms

• Attempt to exploit system vulnerabilities

• Use the platform in unlawful ways

Users may terminate their account at any time.

10. Governing Law

These Terms shall be governed by the laws of the State of New Jersey, without regard to conflict of law principles.

Any disputes shall be resolved in the appropriate courts located within New Jersey.
